Abstract

It was December 1985. Bruce Fireman, a Director of Charterhouse Japhet, a merchant bank, was advising a management team proposing to launch a new national newspaper in the UK. Since being appointed in the autumn, Fireman had helped bring new members into the management team and started to work towards the production of a prospectus, which would raise money by making a public offering of shares in the new company. However, it was now necessary that the company raise £2 million of finance ahead of completing the prospectus. Fireman was faced with how the whole financing deal should be structured now and how it should be presented to potential investors.
