Abstract
"I need to be sure that Magnaprint Ltd is the right company to acquire and, if so, how much I should pay," thought Simon Webster.. Simon was principal of Insearch Ltd, a company that he had set up nearly two years before to fund his search for a company to acquire and manage. After looking at more than 100 companies in a variety of industries, Simon felt that Magnaprint was an excellent opportunity: a foil printing company operating in a niche market, it had a steady earnings flow and good upside potential; moreover he felt he had a good relationship with the vendor, who was keen to sell. Simon wanted to make an offer. However, he had little money left and didn't want to go back to the Insearch investors until he knew whether or not his offer was accepted and then hopefully to ask them to participate in the funding of the acquisition rather than looking for more money to continue the search.
